CounterCost Terms of Service

1. Service

CounterCost provides a web-based service for construction contractors to upload material price quotes from suppliers, parse those quotes into structured line items, and surface aggregated price-benchmarking intelligence drawn from the broader contractor base. By creating an account, you (the Contractor) agree to these terms on behalf of your organization.


2. Data Rights — IMPORTANT

This is the load-bearing section of these terms. Read it carefully.

By uploading material quotes, invoices, purchase orders, or related documents to CounterCost, you grant CounterCost a perpetual, royalty- free, irrevocable license to use the anonymized and aggregated data contained in those documents for market-intelligence purposes, including but not limited to:

  • Computing regional price benchmarks visible to other contractors

using CounterCost in your geographic region

  • Computing supplier-level price intelligence (which supplier sells

what at what price, in what region, in what season) for use inside CounterCost and within potential supplier-intelligence products

  • Targeting RFQs (Requests for Quote) to suppliers most likely to

respond competitively in your category and region

  • Statistical research, model training, and product improvement

internal to CounterCost and its affiliates

What is shared in aggregated form

The following fields drawn from your uploaded documents may be used, combined with data from other contractors, and surfaced anonymously to other CounterCost users or to potential commercial counterparties:

  • Line-item product descriptions (e.g. "GAF Timberline HDZ

Charcoal, square") and any normalized SKU / product identifier

  • Unit prices, extended prices, and quantities at the line-item

level

  • Supplier names and branch locations (e.g. "ABC Supply — Ramsey")
  • Quote dates and geographic region (metro area; not your

specific job address)

  • Commercial terms disclosed on the quote (freight, tax,

payment terms, delivery vs pickup, rebates mentioned)

What is NEVER shared

The following information is treated as confidential to your organization and is never surfaced to other contractors, suppliers, or third parties in any aggregated, anonymized, or identified form:

  • Your organization's identity as the source of any specific quote
  • Your customers' identities (homeowner names, GC names, project

owner names appearing on quotes)

  • Job site addresses appearing on quotes (these are stripped from

any outbound communication; see Section 4)

  • Your contact information (email addresses, phone numbers, names

of your employees)

  • Supplier contact information specific to you (your assigned rep's

direct line, your account number, your payment terms specifics)

  • Total quote amounts at the document level when those totals

would be identifying

Opt-out

If you do not agree to the data-rights terms in this Section 2, you may not use CounterCost. Aggregated data use is core to the service: without contractor data being usable in aggregate, the price benchmarks at the heart of the product cannot exist.

If you wish to terminate aggregated use of your data going forward, you may close your account at any time (Section 6). Data ingested prior to account closure remains in the aggregated pool, but is indistinguishable from any other contractor's contribution and cannot be retroactively withdrawn from existing benchmark calculations.


3. Privacy boundaries

Address anonymization

CounterCost contains an automated guard (MailProvider address-leakage guard) that strips job site addresses from every outbound communication generated by the platform. This is enforced in code, not in policy. Any RFQ, supplier-facing email, or third-party-visible artifact passes through this guard before send.

Customer information

Customer names, project addresses, and any other identifying information about the end recipient of construction work appearing on your quotes is treated as confidential to your organization. We do not share, surface, or use this information outside the boundaries described in Section 2.

Account information

Your account information (email, name, organization name, phone, billing details) is used only to operate the service and is never shared in any aggregated or anonymized intelligence product.

4. Beta software acknowledgement

CounterCost is currently in beta. You acknowledge that:

  • The service may produce parsing errors, incorrect benchmarks, or

incorrect savings claims. Decisions you make based on CounterCost output are your responsibility.

  • The service may be unavailable, may change without notice, and may

introduce or remove features.

  • Pricing, dashboards, and analytical claims surfaced inside

CounterCost are estimates, not guarantees. Always verify with your supplier before acting on a CounterCost-surfaced number.


5. Acceptable use

You agree not to:

  • Upload documents you do not have the right to share (e.g. quotes

marked confidential by a supplier under an explicit NDA)

  • Attempt to extract another contractor's identifiable data from the

aggregated benchmarks

  • Use CounterCost to scrape supplier websites, send unsolicited

outbound communication, or otherwise act in ways that would harm the supplier relationships CounterCost depends on

  • Resell, redistribute, or repackage CounterCost outputs as your own

market-intelligence product


6. Termination

You may close your account at any time by contacting us. We may suspend or close your account if you violate these terms.

On account closure, identifying information about your organization (name, contact information, billing details, account state) is deleted from operational systems within 30 days. Aggregated quote data already incorporated into benchmarks remains in the aggregated pool per Section 2 — it cannot be retroactively withdrawn without destabilizing benchmarks for every other contractor.


7. Limitation of liability

CounterCost is provided as is, without warranty of any kind. To the maximum extent permitted by applicable law, CounterCost's total liability for any claim arising from your use of the service is limited to the fees you have paid CounterCost in the twelve months preceding the claim.


8. Changes to these terms

We may revise these terms. When we do, we will publish a new version with a new effective date. If a revision materially changes how your data is used (Section 2), we will require you to accept the new version inside the application before continuing to use the service. Your continued use after acceptance constitutes agreement to the revised terms.

The current version of these terms is always visible at /terms. Prior versions are retained internally for audit.


9. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles.
